Who these terms are with

These terms are an agreement between you and Briskyn LLC ("Briskyn", "we", "us"), a company based in Chicago, Illinois, USA. They cover this website, the software products we provide, and our integration service (including api.briskyn.com), which connects a business's accounts on third-party platforms — such as eBay, Etsy and TikTok Shop — to software that business uses (together, the "Services"). By using the Services you agree to these terms. If you use them on behalf of a business, you confirm you are authorized to accept these terms for it.

If you have a separate signed agreement with us, that agreement controls where it conflicts with these terms.

Connecting third-party platforms

• You may connect only accounts you own or are authorized to manage. You authorize us, through each platform's official OAuth process, to access and act on those accounts to provide the features you use — for example publishing and updating listings, and reading orders to keep inventory in sync.
• You remain responsible for your accounts on those platforms and for complying with each platform's own terms and policies. Your use of eBay, Etsy, TikTok and other platforms is governed by their terms, not ours.
• Platforms can change or limit their APIs, rate limits or approvals at any time. Some features may be unavailable, delayed or limited as a result, and that is outside our control.
• You can disconnect an account at any time, from our software or from the platform's own settings.

Acceptable use

You agree not to use the Services to:

• break the law or any platform's terms, or list prohibited or infringing items;
• access accounts or data you are not authorized to access;
• send spam, or use buyer contact details in ways the buyer or platform has not permitted;
• interfere with, overload or attempt to break the security of the Services;
• copy, resell or reverse-engineer the Services, except where the law allows it.

We may suspend access that we reasonably believe breaks these rules or puts other users, platforms or our systems at risk.

Your data

You keep ownership of your content and your business data. You give us permission to process it only as needed to provide and improve the Services. How we handle personal information is described in our Privacy policy.

Our software

The Services, including the software, designs and documentation, belong to Briskyn and are protected by intellectual-property laws. These terms give you a limited, non-exclusive right to use them for your business while you are in good standing — not ownership of them. Custom software we build for a client is governed by that client's own agreement.

Fees

Paid Services are billed as described in your plan, quote or order. Unless stated otherwise, fees are non-refundable and exclude taxes.

Disclaimers

The Services are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Services will be uninterrupted or error-free, or that any listing, sale or result will occur.

Limitation of liability

To the fullest extent the law allows, Briskyn is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Services is limited to the amount you paid us for the Services in the 12 months before the claim, or US$100 if you have not paid us.

Ending use

You may stop using the Services at any time. We may suspend or end access for a breach of these terms, or if we stop offering a Service, with reasonable notice where possible. On ending, connected-platform access is revoked and data is handled as described in our Privacy policy.

Governing law

These terms are governed by the laws of the State of Illinois, USA, without regard to conflict-of-law rules. Disputes will be heard in the state or federal courts located in Cook County, Illinois.

Changes to these terms

We may update these terms. We will change the effective date at the top of this page, and for material changes we will make them clear here. Continuing to use the Services after an update means you accept the updated terms.
